Terms of Service

These terms set out the agreement between you and Sustys for use of the service. They’re written to be read; the binding version will be confirmed with counsel before launch.

These terms

These Terms of Service (“Terms”) govern your access to and use of the Sustys application and website (the “Service”), provided by [legal entity name] (“Sustys”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you use Sustys on behalf of an organisation, you confirm you’re authorised to bind it.

Pending detail. The legal entity, jurisdiction, and any plan-specific commitments in [brackets] are confirmed before launch. This document will be reviewed by qualified counsel before it takes effect, and does not yet constitute the final agreement.

The service

Sustys is a specialist instrument for one regulation: the EU Carbon Border Adjustment Mechanism (CBAM). It reads your customs declaration documents, resolves the embedded emissions behind each line, and produces the XSD-valid declaration file and supporting pack you submit. It does not file on your behalf, and it does not perform company-wide emissions reporting or provide environmental, tax, or legal advice.

Accounts & access

  • You’re responsible for the accuracy of your account details and for keeping your credentials secure.
  • You’re responsible for activity under your account, including users you invite within your organisation.
  • Consultants and brokers may access multiple client workspaces; each client’s data stays isolated, and you must have authority to act for each client you add.
  • You must be at least 18 and use the Service for business purposes, in compliance with applicable law.

Your data & responsibilities

You retain all rights to the data you upload. You grant Sustys the limited rights needed to process it and provide the Service, as described in our Privacy Policy and DPA. You’re responsible for having the right to upload the documents you provide and for the lawful basis to share any supplier or third-party data within them.

Accuracy & no filing advice

Sustys is a tool that helps you produce an accurate declaration; the declaration you submit remains your responsibility. Outputs depend on the documents and figures you provide. Default values, where used, reflect the regulation’s conservative assumptions, and proven actuals depend on the data you supply. Nothing is filed without your review and approval. Sustys does not provide regulatory, customs, tax, or legal advice, and is not a substitute for it.

Plans & fees

Paid plans, their scope, and prices are published transparently on our Pricing page; the supplier portal is free. Fees, billing terms, and any trial conditions are [to be confirmed at launch]. We publish prices rather than hide them behind a demo wall, and we give notice before any change to your plan’s price.

Intellectual property

The Service, including its software, design, and content, belongs to Sustys and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business. You may not copy, resell, reverse-engineer, or build a competing product from it. Feedback you share, we may use to improve the Service.

Availability

We work to keep the Service available and performant, but we don’t guarantee uninterrupted access; we may perform maintenance and will aim to minimise disruption. Any service-level commitments are set out in your plan or order: [SLA terms, if applicable]. Service status is published at status.sustys.com.

Liability

The Service is provided on a commercially reasonable basis. To the extent permitted by law, Sustys is not liable for indirect or consequential loss, and our total liability is limited as set out here: [liability cap]. Nothing in these Terms excludes liability that cannot be excluded under applicable law. Because the declaration you file is your responsibility, you remain accountable for its accuracy and for compliance with CBAM.

Termination

You can stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms or misuse of the Service. On termination, we make your data available for export for a reasonable period, then delete or anonymise it as described in the DPA.

Governing law

These Terms are governed by the laws of [governing jurisdiction], and disputes are subject to the courts of [venue], without prejudice to any mandatory consumer or local-law protections that apply to you.
